1. Acceptance of Terms

By accessing or using the WhatsApp Marketing Platform ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Description of Service

WhatsApp Marketing Platform provides a SaaS solution for businesses to manage WhatsApp marketing campaigns, including:

  • Contact management and segmentation
  • Campaign creation and scheduling
  • Message template management
  • Analytics and reporting
  • API access for integrations

3. Account Registration and Security

To use our Service, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Be at least 18 years old or have parental consent
  • Represent a legitimate business entity

You are responsible for all activities that occur under your account.

4. Acceptable Use Policy

You agree NOT to use our Service to:

  • Send spam, unsolicited messages, or bulk messages to users without consent
  • Violate WhatsApp's Terms of Service or Business Policy
  • Transmit harmful, illegal, or offensive content
  • Impersonate others or misrepresent your identity
  • Interfere with or disrupt our Service or servers
  • Harvest or collect user data without authorization
  • Engage in fraudulent activities or scams

Violation of this policy may result in immediate account suspension or termination.

5. WhatsApp API Compliance

Our Service utilizes the WhatsApp Business API. You must comply with:

  • WhatsApp Business Policy
  • Meta's Terms of Service
  • Applicable messaging regulations (TCPA, GDPR, etc.)
  • Opt-in requirements for marketing messages
  • Template approval processes

6. Payment Terms

Subscription Plans:

  • Paid plans are billed monthly or annually in advance
  • Subscription fees are non-refundable except as required by law
  • We may change pricing with 30 days notice
  • Failed payments may result in service suspension

Message Credits:

  • Message credits are purchased separately and used per message sent
  • Credits do not expire unless account is terminated
  • Refunds for unused credits may be available (see Refund Policy)
  • Pricing follows WhatsApp's rate card plus platform markup

7. Data Ownership and Usage

You retain ownership of all data you submit to our Service, including:

  • Contact lists and customer data
  • Campaign content and templates
  • Analytics and performance data

You grant us a limited license to process your data solely to provide our Service. We will not sell or share your data except as outlined in our Privacy Policy.

8. Service Availability and Support

  • We aim for 99.9% uptime but do not guarantee uninterrupted service
  • We may perform maintenance with advance notice when possible
  • Support response times vary by subscription plan
  • We are not liable for third-party service outages (WhatsApp, payment processors)

9. Intellectual Property

Our Service, including software, logos, trademarks, and content, is protected by intellectual property laws. You may not:

  • Copy, modify, or reverse engineer our software
  • Remove copyright or proprietary notices
  • Use our trademarks without permission
  • Create derivative works

10. Termination

Either party may terminate this agreement:

  • You: Cancel your subscription at any time through your account settings
  • Us: Suspend or terminate accounts for violations, non-payment, or abuse

Upon termination, you will lose access to your account and data. We recommend exporting your data before cancellation.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We provide our Service "AS IS" without warranties
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to fees paid in the last 12 months
  • We are not responsible for message delivery failures beyond our control

12. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

  • Your use of our Service
  • Your violation of these Terms
  • Your violation of third-party rights
  • Content you send through our platform

13. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or platform notification. Continued use after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of California, USA. Disputes will be resolved in San Francisco County courts.
